Terms of Use

These Terms form an agreement between you and 9495-2421 QUEBEC INC, operating the Windowly brand ("Windowly," "we," or "us"), and govern your use of windowly.co, the Windowly macOS application, and any related subscription or support service.

1. Eligibility and acceptance

You must have legal capacity to enter a contract and must provide accurate checkout information. By starting a trial, purchasing a subscription, downloading Windowly, or using the service, you agree to these Terms and the Privacy Policy.

2. What Windowly provides

Windowly provides early-access software that helps configure and run a local Windows virtual machine on a compatible Apple Silicon Mac running macOS 14 or later. You need sufficient free storage for Windows and the applications you install. Compatibility and performance depend on your Mac, macOS version, memory, available storage, Windows version, and third-party application requirements. We do not guarantee that every Windows application or feature will work.

3. Windows and third-party software

Windowly does not sell or grant a Microsoft Windows licence. You are responsible for obtaining and complying with any Windows licence and licences for software you install. Microsoft, Windows, Power BI, ArcGIS, Parallels, UTM, and other third-party names and products belong to their respective owners. Windowly is independent and is not affiliated with or endorsed by those owners. Components distributed with Windowly remain governed by their open-source or third-party licences. Their notices, source-code information, and your corresponding rights are available in the application and on our Open-source notices page; these Terms do not restrict those rights.

4. Trial, automatic renewal, and payment

• The trial lasts 3 consecutive calendar days unless the checkout page states otherwise.
• After the trial, Stripe automatically charges $9.99 USD plus applicable taxes each month using the payment method provided at checkout.
• The subscription renews monthly until you cancel. Prices or material terms will not be changed without legally required notice.
• Stripe processes payments. Failed payments may result in suspension or loss of paid access.

5. Cancellation and refunds

You may cancel at any time through Manage subscription. If you cancel during the trial, the subscription will not convert to a paid plan. If you cancel after a paid period begins, cancellation stops the next renewal and access continues until the end of the current billing period. Amounts already charged are not automatically refunded unless applicable law requires otherwise. The detailed policy is available in our Cancellation and Refund Policy.

6. Delivery and order confirmation

Digital access and setup instructions are delivered electronically to the email address used at checkout, normally immediately after checkout and no later than 24 hours unless we disclose a different timeframe before purchase. We also send a written confirmation of the subscription terms that can be saved and printed. Contact support promptly if you do not receive access or confirmation.

7. Permitted use

Windowly grants you a limited, non-exclusive, non-transferable right to use the service for lawful personal or internal business purposes during the applicable access period. You must not use Windowly to violate law, infringe rights, distribute malware, attack systems, evade licensing or technical restrictions, or resell access without written permission.

8. Your data and backups

Your virtual machine and files are stored locally. You are responsible for maintaining backups and for protecting data inside Windows. Removing Windowly or its virtual machine may permanently remove locally stored data.

9. Availability and changes

We may provide updates, correct defects, change features, or discontinue parts of the service. Where a material change adversely affects an active paid subscription, we will provide notice when required and preserve any mandatory rights available under applicable law.

10. Disclaimers and limitation of liability

To the maximum extent permitted by law, Windowly is provided “as is” and “as available,” without warranties that all third-party software will be compatible or that operation will be uninterrupted. Windowly is not liable for indirect, incidental, special, consequential, or punitive loss, loss of data, or loss arising from third-party software. Nothing in these Terms excludes a warranty, remedy, or liability that cannot legally be excluded.

11. Governing law and contact

These Terms are governed by the laws of Quebec and the federal laws of Canada applicable there, without limiting any mandatory consumer rights available where you live.
